Terms of Reference

1. Nature of the Service

Lexo365 is software-as-a-service practice-management software. It is a technology platform. It is not a law firm and is not a lawyer. Scribble Solutions operates Lexo365 as a software vendor, not as a professional legal practice.

These Terms of Reference allocate professional responsibility and liability between Lexo365 and the Subscriber (the lawyer or law firm that subscribes). They form part of the Policy Bundle with the Terms of Use and the Privacy Policy.

2. No solicitor-client relationship

Use of the Service does not create a solicitor-client relationship, a lawyer-client relationship, or any professional retainer between the Subscriber’s clients and Lexo365 or Scribble Solutions.

Nothing in the Service, including AI-generated text, checklists, reminders, or document drafts, is a legal opinion, legal advice, or a substitute for independent professional judgment.

3. AI output is assistive only

The Service does not provide legal advice. Any AI output is assistive only. A licensed lawyer must independently verify AI output before it is relied upon, sent to a client, filed with a court or tribunal, or used in professional work.

Lexo365 does not warrant that AI output is complete, accurate, current, or appropriate for any matter. Large language models can produce incorrect or fabricated content.

4. Subscriber’s professional responsibilities

The Subscriber remains solely responsible for professional conduct and for all advice given to the Subscriber’s clients, including without limitation:

solicitor-client privilege and confidentiality; conflicts of interest; know-your-client, anti-money-laundering, and identification/verification obligations; trust accounting; limitation periods, court dates, and other deadlines; billing accuracy; obtaining and recording client consents; compliance with law-society and professional-conduct rules in every applicable jurisdiction; and the quality, completeness, and legality of work product produced using the Service.

5. No liability for the Subscriber’s professional work

Lexo365 is not liable for professional negligence of the Subscriber, missed deadlines, incorrect legal work, AI hallucinations or other inaccurate output, or losses suffered by the Subscriber’s clients.

The Subscriber’s clients have no claim against Lexo365 arising from the Subscriber’s use of the Service or from the Subscriber’s professional services.

6. Limitation of liability

To the maximum extent permitted by applicable law, Lexo365, Scribble Solutions, and their directors, officers, employees, and suppliers are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages.

The aggregate liability of Lexo365 and Scribble Solutions arising out of or relating to the Service is limited to the fees actually paid by the Subscriber for the Service in the twelve (12) months immediately before the claim. If the Subscriber is on a free or trial plan and has paid no fees in that period, that aggregate cap is CAD $0.

Nothing in this section excludes liability that cannot be excluded under applicable law.

7. Indemnity

The Subscriber will indemnify, defend, and hold harmless Lexo365, Scribble Solutions, and their directors, officers, employees, and suppliers against claims, demands, damages, costs, and expenses (including reasonable legal fees) brought by the Subscriber’s clients or by third parties arising from the Subscriber’s use of the Service or from the Subscriber’s professional services, including alleged professional negligence, missed deadlines, incorrect legal work, or reliance on AI output.

8. Authority to bind

The individual who accepts this Policy Bundle represents that they are authorized to bind the firm that subscribes, and that the firm agrees to these Terms of Reference.

9. Survival and relationship to the Terms of Use

Sections 2 through 8 survive termination of the Service. If there is a conflict between these Terms of Reference and the Terms of Use on professional responsibility or limitation of liability, these Terms of Reference prevail on that point. In all other respects the Terms of Use govern.
